Common use of Corporate Standing Clause in Contracts

Corporate Standing. Seller is a corporation duly organized and validly existing and in good standing under the laws of the state of Delaware. Seller has the power to own its property, and to execute, deliver and perform this Agreement and each of the Transaction Documents applicable to it, and to carry on its business as now being conducted. Seller is duly qualified to do business in and is in good standing as a foreign corporation authorized to do business under the laws of the State of Utah.

Seller , and is duly qualified to do business in and is in good standing as a foreign corporation authorized to do in all jurisdictions in which the nature of its business under or the laws ownership or leasing of the State of Utahits properties makes such qualifications necessary.
