Seller is a corporation duly organized, validly existing and in good standing under the laws of the jurisdiction under which they were formed, with full corporate power and authority under its certificate of incorporation and bylaws to own and lease its properties, to operate and to conduct its business as the same exist at the date hereof. Seller is duly qualified to do business and is in good standing in every jurisdiction in which the nature of its business makes such qualification necessary.
