Corporation for Tax Purposes. The Company shall be treated as a corporation for federal and, to the extent permissible, state and local income tax purposes. The Company has filed the Check-the-Box Election to treat the Company as an association taxable as a corporation for U.S. federal income tax purposes and, unless otherwise determined by the Board, neither the Company nor any Unitholder shall take any action inconsistent with such tax treatment, including the filing of any election to treat the Company as other than a corporation for U.S. federal income tax purposes. In the event that the Board determines, with the consent of the holders of the Required Interest, that the Company should elect to be treated as a partnership for federal income tax purposes (including, if applicable, on a retroactive basis) pursuant to Treasury Regulation 301.7701-3 (or any successor regulation or provision) or, to the extent permissible, state or local income tax purposes, each Unitholder and former Unitholder shall cooperate with the Company to make such election (including, if applicable, on a retroactive basis), including by executing any forms or documents required in connection therewith. To the extent the Company elects to be treated as a partnership pursuant to the foregoing sentence the Company shall first (i) give each Institutional Holder written notice at least thirty (30) days prior to making such election and (ii) cooperate in good faith with such Unitholder to permit it to restructure its interests in the Company, including by Transferring any interests in any Units to a Permitted Transferee.
