Common use of Correctness of Representations and Warranties; Compliance Clause in Contracts

Correctness of Representations and Warranties; Compliance. All representations and warranties of Seller contained in this Agreement shall be true and correct at and as of the Closing Date with the same force and effect as though made at and as of the Closing Date, and Seller shall have performed and complied with all of the obligations and conditions with respect to which this Agreement requires performance or compliance by Seller at or prior to the time of Closing. Seller will deliver to Buyer a certificate dated the date of the Closing, as to the fulfillment of the matters described in this Section 6.3(a).

Seller Buyer will deliver to Buyer a Seller its certificate dated the date of the Closing, Closing Date as to the fulfillment of the matters described conditions set forth in this Section 6.3(a6.4(a).
