Common use of Costs, Expenses and Legal Fees Clause in Contracts

Costs, Expenses and Legal Fees. Whether or not the transactions contemplated hereby are consummated, Purchaser and Seller shall bear their respective costs and expenses (including attorneys' fees and expenses) incurred in connections with the transactions contemplated herein, except that each party hereto that is shown to have breached this Agreement or any other agreement contemplated hereby agrees to pay the costs and expenses (including reasonable attorneys' fees and expenses) incurred by any other party in successfully (i) enforcing any of the terms of this Agreement against such breaching party or (ii) proving that another party breached any of the terms of this Agreement.
