Costs of Calculations. The Company agrees to bear all costs associated with, and to indemnify and hold harmless, the national tax counsel of and from any and all claims, damages, and expenses resulting from or relating to its determination pursuant to this Article 6, except for claims, damages, or expenses resulting from the gross negligence or willful misconduct of such firm.
