COSTS OF THE MOU. Each Party shall bear the respective costs of carrying out the obligations under this MOU. Engagement in the Conduct of Research and Dissemination While the partnership development proposal reflects t he team as a whole, each party to this MOU acknowledges their respective roles and responsibilities in conduct ing various components of the Project's work, either solely or in collaboration with other partners and participants. The Parties are committed to conduct ing the work involved in this Project for which they have taken responsibility. The Parties also agree to notify the Project leadership of challenges or delays as soon as they become aware of them. Arbitration The parties hereto irrevocably agree that any disput e, controversy or claim arising out of, relating to or in connection with this Agreement (including any provision of any exhibit, annex or schedule hereto) or the existence, breach, termination or validit y hereof shall be finally settled by arbitration. The arbitration shall be conduct ed in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be held in and shall be conduct ed by a sole arbitrator appointed by mutual consent of the Successor and the Predecessor, or failing such agreement, such sole arbitrator shall be appointed as per the applicable rules under Arbitration and Conciliation Xxx, 0000. Nothing in this Sect ion shall prevent the parties from obtaining relief from a court of competent jurisdict ion in the form of provisional or conservatory measures (including, without limitation, preliminary injunctions to prevent breaches hereof). Any request for such provisional measures by a party to a court shall not be deemed a waiver of this agreement to arbit rate.   • Administrative Costs Administrative costs will not be included in the budget neutrality agreement, but the state must separately track and report additional administrative costs that are directly attributable to the demonstration. All administrative costs must be identified on the Forms CMS-64.10 Waiver and/or 64.10P Waiver.

  • Costs and Expenses The Borrower shall pay (i) all reasonable out-of-pocket expenses incurred by the Administrative Agent and its Affiliates (including the reasonable fees, charges and disbursements of counsel for the Administrative Agent), in connection with the syndication of the credit facilities provided for herein, the preparation, negotiation, execution, delivery and administration of this Agreement and the other Loan Documents or any amendments, modifications or waivers of the provisions hereof or thereof (whether or not the transactions contemplated hereby or thereby shall be consummated), (ii) all reasonable out-of-pocket expenses incurred by the L/C Issuer in connection with the issuance, amendment, renewal or extension of any Letter of Credit or any demand for payment thereunder and (iii) all out-of-pocket expenses incurred by the Administrative Agent, any Lender or the L/C Issuer (including the fees, charges and disbursements of any counsel for the Administrative Agent, any Lender or the L/C Issuer), and shall pay all fees and time charges for attorneys who may be employees of the Administrative Agent, any Lender or the L/C Issuer, in connection with the enforcement or protection of its rights (A) in connection with this Agreement and the other Loan Documents, including its rights under this Section, or (B) in connection with the Loans made or Letters of Credit issued hereunder, including all such out-of-pocket expenses incurred during any workout, restructuring or negotiations in respect of such Loans or Letters of Credit.

  • Fees, Costs and Expenses All fees, costs and expenses (including attorneys’ fees and expenses) incurred by any party hereto in connection with the preparation, negotiation and execution of this Agreement and the exhibits and schedules hereto and the consummation of the transactions contemplated hereby and thereby shall be the sole and exclusive responsibility of such party. In addition, the Company will pay the costs associated with any filings with, or compliance with any of the requirements of any governmental authorities.
