Common use of Costs Related to Breach Clause in Contracts

Costs Related to Breach. BUSINESS ASSOCIATE shall be responsible for any and all costs incurred by the STATE as a result of any Breach of PHI by BUSINESS ASSOCIATE, its officers, directors, employees, contractors, or agents, or by a third party to which the BUSINESS ASSOCIATE disclosed PHI under this Agreement, including but not limited to notification of individuals or their representatives of a Breach of Unsecured PHI,30 and the cost of mitigating any harmful effect of the Breach.31

Costs Related to Breach. BUSINESS ASSOCIATE shall be responsible for any and all costs incurred by the STATE COVERED ENTITY as a result of any Breach of PHI by BUSINESS ASSOCIATE, its officers, directors, employees, contractors, contractors or agents, or by a third party to which the BUSINESS ASSOCIATE disclosed PHI under this Agreement, including but not limited to notification of individuals or their representatives of a Breach of Unsecured PHI,30 PHI,35 and the cost of mitigating any harmful effect of the Breach.31Breach.36 Providing notice to the individuals of a Breach will be the responsibility of COVERED ENTITY.
