Costs, Transaction Taxes and Duties. Each Party shall bear its own costs and expenses in connection with the preparation, negotiation, execution and completion of this Agreement.

Costs, Transaction Taxes and Duties. The Parties agree that each of them shall bear its own costs and expenses in connection with the preparation and negotiation of, all notarial fees, and all registration, stamp duty and transfer taxes payable in connection with the sale and purchase of the Sale Shares shall be borne by the Vendors as to 50 per cent. and the Purchaser as to 50 per cent.
Costs, Transaction Taxes and Duties. (A) Each of the Parties agree that it shall bear its own costs in connection with the preparation and negotiation of, and the entry into, this Agreement. (B) The Parties shall bear the cost of all notarial fees, and all registration, stamp and transfer taxes and duties payable as a result of the transaction contemplated by this Agreement in equal shares. (C) The Seller shall be responsible for arranging the payment of all such fees, taxes and duties, including fulfilling any administrative or reporting obligation imposed by the jurisdiction in question in connection with the payment of such taxes and duties. The Purchaser shall as soon as practicable reimburse the Seller for the Purchaser’s share of such fees, taxes and duties on request and production of appropriate receipts.

The Vendor and the Purchaser shall be responsible for the timely payment of such stamp duty.

  • Taxes and Duties If a Holder converts a Note, the Company will pay any documentary, stamp or similar issue or transfer tax or duty due on the issue or delivery of any shares of Common Stock upon such conversion; provided, however, that if any tax or duty is due because such Holder requested such shares to be registered in a name other than such Holder’s name, then such Holder will pay such tax or duty and, until having received a sum sufficient to pay such tax or duty, the Conversion Agent may refuse to deliver any such shares to be issued in a name other than that of such Holder.
