COUNCIL RESOLUTION. The City shall, at the Closing, deliver to the Purchaser a duly executed copy of its resolution authorizing the transaction described herein, including if applicable the issuance of the Bonds on a tax-exempt basis, which resolution shall form a part of this agreement.
