Common use of Counsel Opinions Clause in Contracts

Counsel Opinions. Opinions addressed to the Initial Purchasers and the Collateral Agent for its benefit and for the benefit of the Trustee and the holders of the Securities of (i) local counsel in each jurisdiction where the Mortgaged Property is located with respect to the enforceability and perfection of the Mortgages and other matters customarily included in such opinions and (ii) counsel for the Company regarding due authorization, execution and delivery of the Mortgages, in each case, substantially similar to those delivered in connection with the Senior Secured Facility.

Opinions addressed to the Initial Purchasers and the Collateral Agent for its benefit and for the benefit of the Trustee and the holders of the Securities Secured Parties of (i) local counsel in each jurisdiction where the Mortgaged Property is located with respect to the enforceability and perfection of the Mortgages and other matters customarily included in such opinions and (ii) counsel for the Company regarding due authorization, execution and delivery of the Mortgages, in each case, substantially similar to those delivered in connection with the Senior Secured Facility.

Opinions addressed to the Initial Purchasers Trustee and the Collateral Agent for its benefit and for the benefit of the Trustee and Agent, the holders of the Securities Notes, and their respective successors and assigns, of (i) local counsel in each jurisdiction where the Mortgaged Property is located with respect to the enforceability and perfection opinions of the Mortgages and other matters customarily included in such opinions and (ii) counsel for the Company regarding due authorization, execution and delivery enforceability of the Mortgages, in each case, substantially similar to those delivered in connection with Mortgages and such other customary real estate opinions as the Senior Secured FacilityCollateral Agent reasonably requires.

Opinions addressed to the Initial Purchasers and the Collateral Agent for its benefit and for the benefit of the Trustee and the holders of the Securities Second-Priority Secured Parties of (i) local counsel in each jurisdiction where the Mortgaged Property is located with respect to the enforceability and perfection of the Mortgages and other matters customarily included in such opinions and (ii) counsel for the Company regarding due authorization, execution and delivery of the Mortgages, in each case, substantially similar to those delivered in connection with the Senior Secured Facility.

Opinions addressed to the Initial Purchasers and the Notes Collateral Agent for its benefit and for the benefit their respective successors and assigns, of the Trustee and the holders of the Securities of (i) local counsel in each jurisdiction where the Mortgaged Property is located with respect to the enforceability and perfection opinions of the Mortgages and other matters customarily included in such opinions and (ii) counsel for the Company regarding due authorization, execution execution, delivery and delivery enforceability of the Mortgages, in each case, substantially similar to those delivered in connection with Mortgage Amendment and such other opinions as the Senior Secured FacilityNotes Collateral Agent reasonable requires.
