Opinions addressed to the Collateral Agent for its benefit and for the benefit of the Trustee and the holders of the Notes of (i) local counsel in each jurisdiction where the Mortgaged Property is located with respect to the enforceability and perfection of the Mortgages and other matters customarily included in such opinions and (ii) counsel for the Issuers regarding due authorization, execution and delivery of the Mortgages, in each case, substantially similar to those delivered in connection with the First Lien Credit Agreement and otherwise in form and substance reasonably satisfactory to the Collateral Agent.
