Common use of Counsel Opinions Clause in Contracts

Counsel Opinions. Opinions addressed to the Collateral Agent for its benefit and for the benefit of the Trustee and the holders of the Notes of (i) local counsel in each jurisdiction where the Mortgaged Property is located with respect to the enforceability and perfection of the Mortgages and other matters customarily included in such opinions and (ii) counsel for the Issuers regarding due authorization, execution and delivery of the Mortgages, in each case, substantially similar to those delivered in connection with the First Lien Credit Agreement and otherwise in form and substance reasonably satisfactory to the Collateral Agent.

Counsel Opinions. Opinions addressed to the Notes Collateral Agent for its benefit and for the benefit of the Trustee and the holders of the Notes of (i) local counsel in each jurisdiction where the Mortgaged Property is located with respect to the enforceability and perfection of the Mortgages and other matters customarily included in such opinions and (ii) counsel for the Issuers Company and the Guarantors regarding due authorization, execution and delivery of the Mortgages, in each case, substantially similar to those delivered in connection with the First Lien Credit Agreement and otherwise in form and substance reasonably satisfactory to the Collateral Agent.;

Counsel Opinions. Opinions addressed to the Collateral Agent for its benefit and for the benefit of the Trustee and the Collateral Agent, the holders of the Notes Notes, and their respective successors and assigns, of (i) local counsel in each jurisdiction where the Mortgaged Property Premises is located with respect to the enforceability and perfection opinions of the Mortgages and other matters customarily included in such opinions and (ii) counsel for the Issuers Company regarding enforceability of the Mortgages, the due authorization, execution and delivery of the Mortgages, in each case, substantially similar to those delivered in connection with the First Lien Credit Agreement Mortgages and otherwise in form and substance reasonably satisfactory to such other customary real estate opinions as the Collateral AgentAgent reasonably requires.
