COUNTERPART CLAUSE Clause Samples

A Counterpart Clause allows a contract or agreement to be executed in multiple copies, with each copy considered an original. In practice, this means that parties can sign separate physical or electronic copies of the same document, and all signed copies together form a single binding agreement. This clause is especially useful when parties are in different locations, as it facilitates efficient execution without requiring everyone to sign the same piece of paper. Its core function is to streamline the signing process and ensure the validity of the agreement even when signatures are collected separately.
