COUNTERPARTS AND GOVERNING LAW. This Agreement may be executed in counterparts. This Agreement shall be construed in accordance with, and all the rights, powers and liabilities of the parties hereunder shall be governed by, the internal laws of the State of California, without reference to choice of law principles thereof.
