Counterparts; Assignment. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument; such counterparts may consist of documents which are photocopies, portable document files, facsimile transmissions or produced by similar reproduction methods; upon the request of either party, the other shall furnish a copy or copies with original signature within five (5) business days. This Agreement shall not be assigned by either party.

Counterparts; Assignment. This letter agreement may be executed in multiple counterparts, any one of which need not contain the signature of more than one party but all of which together shall constitute one agreement. This letter agreement may not be assigned by either party hereto without the consent of the other party hereto, which consent may be withheld in such other party’s sole discretion.

Counterparts; Assignment. (a) This Agreement may be executed in two or more counterparts, each of which shall constitute but one and the same agreement. (b) The City shall not be permitted to assign or transfer this Agreement. The Company may assign or transfer this Agreement to any entity in which the Company or its members have a direct or indirect ownership interest, and upon the occurrence of such assignment or transfer such assignee or transferee shall assume all obligations of the Company hereunder and the Company shall have no further obligations hereunder.

Facsimile transmission of an executed counterpart of this Agreement shall be deemed to constitute due and sufficient delivery of such counterpart, and such facsimile signatures shall be deemed original signatures for purposes of enforcement and construction of this Agreement. This Agreement may not be assigned by the Company or either Shareholder without the written consent of Buyer.

Counterparts; Assignment. This Letter Agreement may be executed in counterparts, and all such counterparts taken together shall constitute one and the same agreement and shall bind and inure to the benefit of Delta, Republic, Chautauqua and Shuttle America and their respective successors and assigns

Counterparts; Amendment This Agreement may be executed simultaneously in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. This Agreement may not be modified or amended, except by an instrument in writing signed by the party to be bound or as may otherwise be provided for herein.
Counterparts; Fax This Amendment may be separately executed in counterparts and by the different parties hereto in separate counterparts, each of which when so executed shall be deemed to constitute one and the same Amendment. This Amendment may be validly executed by facsimile or other electronic transmission.
Counterparts; Originals The parties may sign any number of copies of this Supplemental Indenture. Each signed copy shall be an original, but all of them together represent the same agreement.
Counterparts and Facsimiles This Agreement may be executed, including execution by facsimile signature, in one or more counterparts, each of which shall be deemed an original, and all of which together shall be deemed to be one and the same instrument.

Delivery of an executed counterpart of this Agreement or any of the other Financing Agreements by telefacsimile shall have the same force and effect as the delivery of an original executed counterpart of this Agreement or any of such other Financing Agreements. Any party delivering an executed counterpart of any such agreement by telefacsimile shall also deliver an original executed counterpart, but the failure to do so shall not affect the validity, enforceability or binding effect of such agreement.
Counterparts and Facsimile Execution This Agreement may be executed in two counterparts, all of which shall be considered one and the same agreement and shall become effective when one or more counterparts have been signed by each of the parties and delivered (by facsimile or otherwise) to the other party, it being understood that all parties need not sign the same counterpart. Any counterpart or other signature hereupon delivered by facsimile shall be deemed for all purposes as constituting good and valid execution and delivery of this Agreement by the party delivering it.
Counterparts and Facsimile For the convenience of the parties hereto, this Agreement may be executed in any number of separate counterparts, each such counterpart being deemed to be an original instrument, and all such counterparts will together constitute the same agreement. Executed signature pages to this Agreement may be delivered by facsimile and such facsimiles will be deemed as sufficient as if actual signature pages had been delivered.
Execution Counterparts This Agreement may be executed in any number of counterparts, each of which shall be regarded as an original and all of which shall constitute but one and the same instrument.
Counterparts; Facsimile Execution This Agreement may be executed in one or more counterparts, all of which shall be considered one and the same agreement and shall become effective when one or more counterparts have been signed by each of the Parties and delivered to the other Parties. Facsimile execution and delivery of this Agreement is legal, valid and binding for all purposes.
