Except as set forth in Section 7.1 Sections 3.5 and Section 10.2(b)7.3, 7.6, 7.7 and 7.8, no provision of this Agreement is intended to confer upon any Person other than the parties hereto any rights or remedies hereunder.

Counterparts; Effectiveness; Third Party Beneficiaries. This Agreement may be signed executed by facsimile signatures and in any number of counterparts, each of which shall be an original, with the same effect as if the signatures thereto and hereto were upon the same instrument. This Agreement shall become effective only when actually signed by each party hereto shall have and each such party has received counterparts hereof signed by all of the other parties party hereto.
