Common use of Counterparts; Third Party Beneficiaries Clause in Contracts

Counterparts; Third Party Beneficiaries. This Agreement may be executed in any number of counterparts, which may be delivered by facsimile or electronic delivery (i.e., by email of a PDF signature page) and each of which shall be deemed an original, with the same effect as if the signatures thereto and hereto were upon the same instrument. No provision of this Agreement shall confer upon any person other than the parties hereto and their respective successors and permitted assigns any rights or remedies hereunder.

This Agreement may be executed in any number of counterparts, which may be delivered counterparts (including by facsimile or and/or electronic delivery (i.e.mail in .pdf format), by email of a PDF signature page) and each of which shall be deemed an original, with the same effect as if the signatures thereto and hereto were upon the same instrument. No provision of this Agreement shall confer upon any person Person other than the parties hereto and their respective successors and permitted assigns any rights or remedies hereunder; provided, however, that the Parent Related Parties are express intended third party beneficiaries of Section 7.14 hereof.

No Facsimile and electronic (.PDF) signatures shall be sufficient to execute this Agreement. Except for Section 6.8 with respect to the underwriters of Registrable Securities, no provision of this Agreement shall confer upon any person other than the parties hereto and their respective successors and permitted assigns any rights or remedies hereunder.

This Agreement agreement may be executed in any number of counterparts, each of which shall be considered an original, and signatures for this agreement may be delivered by facsimile or other means of electronic delivery (i.e.transmission, by email of a PDF and any such signature page) and each of which shall be deemed an original, with considered valid and binding to the same effect extent as if delivered original signatures. With the signatures thereto and hereto were upon exception of the same instrument. No rights conferred to BRS herein, no provision of this Agreement shall agreement is intended to confer any rights, benefits, remedies, obligations, or liabilities hereunder upon any person other than the parties hereto and their respective successors and permitted assigns any rights or remedies hereunderassigns.

This Agreement may be executed by facsimile signatures and in any number of counterparts, which may be delivered by facsimile or electronic delivery (i.e., by email of a PDF signature page) and each of which shall be deemed an original, with the same effect as if the signatures thereto and hereto were upon the same instrument. No provision of this Agreement is intended to nor shall it confer upon any person Person other than the parties hereto and their respective successors and permitted assigns any rights or remedies hereunderhereunder or with respect hereto, except as otherwise expressly provided in Section 7.5.

Facsimile or electronic PDF transmission of execution copies of signature pages for this Agreement shall be legal, valid and binding execution and delivery for all purposes. No provision of this Agreement shall confer upon any person other than the parties hereto and their respective successors and permitted assigns any rights or remedies hereunder.

This Agreement may be executed in any number of counterparts, which may be delivered by facsimile or electronic delivery (i.e., by email of a PDF signature page) and each of which shall be deemed to be an original, and all of which together shall be deemed to be one and the same instrument. This Agreement may be executed by delivery of a facsimile or e-mail PDF copy of an executed signature page with the same force and effect as if the signatures thereto and hereto were upon the same instrumentdelivery of an original executed signature page. No provision of this Agreement shall is intended to confer any rights, benefits, remedies, obligations, or liabilities hereunder upon any person Person other than the parties hereto and their respective successors and permitted assigns any rights or remedies hereunderassigns.
