Common use of Covenant Defeasance and Waiver Clause in Contracts

Covenant Defeasance and Waiver. Upon the Company’s exercise of the option described in Section 402(3) of the Indenture with respect to the Notes, in addition to the other obligations permitted to be released by Section 402(3), the Company shall be released from its obligations to comply with any term, provision or condition under Sections 3.01, 3.02 and 3.05 of this Tenth Supplemental Indenture with respect to the Notes. The provisions of Sections 3.01, 3.02 and 3.05 of this Tenth Supplemental Indenture may be waived in accordance with Section 1005 of the Indenture.

Covenant Defeasance and Waiver. Upon the Company’s exercise of the option described in Section 402(3) of the Indenture with respect to the 2017 Notes, in addition to the other obligations permitted to be released by Section 402(3), the Company shall be released from its obligations to comply with any term, provision or condition under Sections 3.01, 3.01 and 3.02 and 3.05 of this Tenth Fourth Supplemental Indenture with respect to the 2017 Notes. The provisions of Sections 3.01, 3.01 and 3.02 and 3.05 of this Tenth Fourth Supplemental Indenture may be waived in accordance with Section 1005 of the Indenture.

Upon the Company’s exercise of the option described in Section 402(3) of the Indenture with respect to the 2015 Notes, in addition to the other obligations permitted to be released by Section 402(3), the Company shall be released from its obligations to comply with any term, provision or condition under Sections 3.01, 3.01 and 3.02 and 3.05 of this Tenth First Supplemental Indenture with respect to the 2015 Notes. The provisions of Sections 3.01, 3.01 and 3.02 and 3.05 of this Tenth First Supplemental Indenture may be waived in accordance with Section 1005 of the Indenture.

Upon the Company’s exercise of the option described in Section 402(3) of the Indenture with respect to the 2023 Notes, in addition to the other obligations permitted to be released by Section 402(3), the Company shall be released from its obligations to comply with any term, provision or condition under Sections 3.01, 3.01 and 3.02 and 3.05 of this Tenth Fifth Supplemental Indenture with respect to the 2023 Notes. The provisions of Sections 3.01, 3.01 and 3.02 and 3.05 of this Tenth Fifth Supplemental Indenture may be waived in accordance with Section 1005 of the Indenture.

The provisions of Sections 3.01, 3.02 and 3.05 of this Tenth Ninth Supplemental Indenture may be waived in accordance with Section 1005 of the Indenture.

Upon the Company’s exercise of the option described in Section 402(3) of the Indenture with respect to the 2022 Notes, in addition to the other obligations permitted to be released by Section 402(3), the Company shall be released from its obligations to comply with any term, provision or condition under Sections 3.01, 3.01 and 3.02 and 3.05 of this Tenth Second Supplemental Indenture with respect to the 2022 Notes. The provisions of Sections 3.01, 3.01 and 3.02 and 3.05 of this Tenth Second Supplemental Indenture may be waived in accordance with Section 1005 of the Indenture.

Upon the Company’s exercise of the option described in Section 402(3) of the Indenture with respect to the Notes, in addition to the other obligations permitted to be released by Section 402(3), the Company shall be released from its obligations to comply with any term, provision or condition under Sections 3.01, 3.02 and 3.05 of this Tenth Eighth Supplemental Indenture with respect to the Notes. The provisions of Sections 3.01, 3.02 and 3.05 of this Tenth Eighth Supplemental Indenture may be waived in accordance with Section 1005 of the Indenture.

Upon the Company’s exercise of the option described in Section 402(3) of the Indenture with respect to the Notes, in addition to the other obligations permitted to be released by Section 402(3), the Company shall be released from its obligations to comply with any term, provision or condition under Sections 3.01, 3.02 and 3.05 of this Tenth Seventh Supplemental Indenture with respect to the Notes. The provisions of Sections 3.01, 3.02 and 3.05 of this Tenth Seventh Supplemental Indenture may be waived in accordance with Section 1005 of the Indenture.
