Covenant; Enforceability. The New Shareholder hereby ratifies and accedes to the terms of, agrees to be bound by, and assumes all rights and obligations under the terms and conditions of, the Shareholders’ Agreement, as if the New Shareholder had been an original party to the Shareholders’ Agreement in the same capacity as the Transferor; provided, however, that the New Shareholder shall not have the benefit of any rights of the Transferor under the Shareholders’ Agreement which are expressed to be non-transferable by the terms thereof. The existing Shareholders shall be entitled to enforce the Shareholders’ Agreement against the New Shareholder.
Covenant; Enforceability. The New Investor hereby ratifies and accedes to the terms of, agrees to be bound by, and assumes all rights and obligations under the terms and conditions of, the Registration Rights Agreement, as if the New Investor had been an original party to the Registration Rights Agreement in the same capacity as the Transferor. The existing Parties to the Registration Rights Agreement shall be entitled to enforce the Registration Rights Agreement against the New Investor.
Covenant; Enforceability. The Joining Party hereby ratifies and accedes to the terms of, agrees to be bound by, and assumes all rights or obligations, which shall have been granted to or have been undertaken by the “WFOE” under the terms and conditions of the Transaction Documents, as if the Joining Party had been an original party to the Transaction Documents. Each of the Company, HK Company, the Domestic Companies, the Founders, the Founder Holdcos and the Investors shall be entitled to enforce the Transaction Documents against the Joining Party, and the Joining Party shall be entitled to all rights and benefits of WFOE under the Transaction Documents, in each case as if such Joining Party had been an original party to the Transaction Documents since the date hereof.
