Common use of COVENANT NOT TO COMPETE; NON-SOLICITATION; CONFIDENTIAL INFORMATION Clause in Contracts

COVENANT NOT TO COMPETE; NON-SOLICITATION; CONFIDENTIAL INFORMATION. (a) In consideration of and as an inducement to the Company to enter into this Employment Agreement, Executive shall not, for a period commencing on the date hereof and ending on the later of (i) September 30, 2001 or (ii) one year after Executive's termination of employment with the Company and its Affiliates (as defined in Section 9(h), below), for any reason (the later of (i) or (ii) above being referred to as the "Covenant End Date"), serve, directly or indirectly, as an operator, owner, partner, consultant, officer, director, or employee of any firm, company, corporation or entity (other than the Company or one of its Affiliates, or CORE or one of CORE's wholly-owned subsidiaries) engaged within the geographical area of the United States in competition with the business of the Company or its Affiliates, or any business of CORE or its Affiliates. (b) Executive agrees that for a period commencing with the date of this Agreement and ending on the Covenant End Date: (i) Executive will not directly or indirectly solicit, hire or attempt to hire for any purpose whatsoever (whether as an employee, consultant, advisor, independent contractor or otherwise) any employee or consultant of the Company and its Affiliates or any person who was an employee or consultant of any such corporations (and will not assist any subsequent employer of Executive or related entity or person in taking any such actions); (ii) Executive will not induce or attempt to induce any customer, client supplier, licensee or other business relation of the Company and its Affiliates to cease doing business with the Company and its Affiliates, or in any way interfere with the relationship or potential relationship between any such customer, client, supplier, licensee or business relation and the Company and its Affiliates; and (iii) Executive shall not solicit or attempt to solicit, or accept business from, any entity which at any time during the twelve month period prior to the date of termination of Executive's employment with the Company and its Affiliates, was a client or customer of the Company and its Affiliates, for the purpose of doing business with such client or customer in competition with the Company and its Affiliates. For the purpose of this covenant, the clients and customers of the Company and its Affiliates shall include those entities with which the Company and its Affiliates had held discussions or negotiations concerning services of the Company and its Affiliates which are in competition with Executive's solicited business.

COVENANT NOT TO COMPETE; NON-SOLICITATION; CONFIDENTIAL INFORMATION. (a) In consideration of and as an inducement to the Company DRMS and CORE to enter into this Employment Agreement, Executive shall not, for a period commencing on the date hereof Effective Date of this Agreement and ending on the later latest of (i) September 30, 2001 or one (ii1) one year after Executive's termination of employment with the Company and its Affiliates (as defined in Section 9(h), below)DRMS, for any reason (the later of (i) or reason, (ii) above the date through which severance payments are due pursuant to Section 8 above, or (iii) if the Deemed Bonus is paid in an amount greater than zero ($0.00) pursuant to Section 8(e) or 8(f) above, the last day of the Term (such latest date being referred to as the "Covenant End Date"), serve, directly or indirectly, as an operator, owner, partner, consultant, independent contractor, officer, director, sole proprietor or employee of any firm, company, corporation or entity (other than the Company or one of CORE and its Affiliates, or CORE or one of CORE's wholly-owned subsidiaries) which is engaged within the geographical area of the United States in competition with the business businesses of CORE or any of its Affiliates. However, in the event that Executive is serving in such fashion, but for a unit or division of such firm, company, corporation or entity which is not engaged within the geographical area of the Company United States in competition with the businesses of CORE or any of its Affiliates, or any business of CORE or its Affiliatesthen such service shall not violate this Agreement. (b) Executive agrees that for a period commencing with on the date Effective Date of this Agreement and ending on the Covenant End Date: (i) Executive will not directly or indirectly solicit, hire or attempt to hire for any purpose whatsoever (whether as an employee, consultant, advisor, independent contractor or otherwise) any employee or consultant of the Company and CORE or any of its Affiliates or any person who was an employee or consultant of any such corporation or corporations (and will not assist any subsequent employer of Executive or related entity or person in taking any such actions); (ii) Executive will not induce or attempt to induce any customer, client client, supplier, licensee or other business relation of the Company and CORE or any of its Affiliates to cease doing business with the Company and CORE or any of its Affiliates, Affiliates or in any way interfere with the relationship or potential relationship between any such customer, client, supplier, licensee or business relation relation, and the Company and CORE or any of its Affiliates; and and (iii) Executive shall not solicit or attempt to solicit, or accept business from, any entity which at any time during the twelve month period prior to the date of termination of Executive's employment with the Company and its AffiliatesDRMS, was a client or customer of the Company and CORE or any of its Affiliates, Affiliates for the purpose of doing business with such client or customer in competition matters that compete with the Company and business of CORE or any of its Affiliates. For the purpose of this covenant, the clients and customers of the Company and CORE or any of its Affiliates shall include those entities with which the Company and CORE or any of its Affiliates had held discussions or negotiations concerning services of the Company and CORE or any of its Affiliates which are in competition with Executive's solicited businessAffiliates.

COVENANT NOT TO COMPETE; NON-SOLICITATION; CONFIDENTIAL INFORMATION. (a) In consideration of and as an inducement to the Company to enter into this Employment Agreement, Executive shall not, for a period commencing on the date hereof and ending on the later of (i) September 30, 2001 or (ii) one year after Executive's termination of employment with the Company and its Affiliates (as defined in Section 9(h), below), for any reason (the later of (i) or (ii) the date through which severance payments are due pursuant to Section 8(e) and (f) above (such later date being referred to as the "Covenant End Date"), serve, directly or indirectly, as an operator, owner, partner, consultant, officer, director, or employee of any firm, company, corporation or entity (other than the Company or one of its Affiliates, or CORE or one of CORE's wholly-owned subsidiaries) whose employing unit or division is engaged within the geographical area of the United States in direct competition with the business of the Company or its Affiliates, or any business of CORE or its Affiliates. (b) Executive agrees that for a period commencing with the date of this Agreement and ending on the Covenant End Date: (i) Executive will not directly or indirectly solicit, hire or attempt to hire for any purpose whatsoever (whether as an employee, consultant, advisor, independent contractor or otherwise) any employee or consultant of the Company and its Affiliates or any person who was an employee or consultant of any such corporations (and will not assist use best efforts to prevent any subsequent employer of Executive or related entity or person in from taking any such actions); (ii) Executive will not induce or attempt to induce any customer, client supplier, licensee or other business relation of the Company and its Affiliates to cease doing business with the Company and its Affiliates, or in any way interfere with the relationship or potential relationship between any such customer, client, supplier, licensee or business relation and the Company and its Affiliates; and (iii) Executive shall not solicit or attempt to solicit, or accept business from, any entity which at any time during the twelve month period prior to the date of termination of Executive's employment with the Company and its Affiliates, was a client or customer of the Company and its Affiliates, for the purpose of doing business with such client or customer in competition matters which directly compete with the business of the Company and or its Affiliates. For the purpose of this covenant, the clients and customers of the Company and its Affiliates shall include those entities with which the Company and its Affiliates had held discussions or negotiations concerning services of the Company and its Affiliates which are in competition with Executive's solicited businessAffiliates.

COVENANT NOT TO COMPETE; NON-SOLICITATION; CONFIDENTIAL INFORMATION. (a) In consideration of and as an inducement to the Company to enter into this Employment Agreement, Executive shall not, for a period commencing on the date hereof Effective Date of this Agreement and ending on the later of (i) September 30, 2001 or one (ii1) one year after Executive's termination of employment with the Company and its Affiliates (as defined in Section 9(h), below)Company, for any reason (the later of (i) or (ii) the date through which severance payments of Base Salary are due pursuant to Section 8(e) above (such later date being referred to as the "Covenant End Date"), serve, directly or indirectly, as an operator, owner, partner, consultant, independent contractor, officer, director, sole proprietor or employee of any firm, company, corporation or entity (other than the Company and its Affiliates) which is engaged within the geographical area of the United States in competition with the businesses of CORE or one any of its Affiliates. However, in the event that Executive is serving in such fashion, but for a unit or CORE division of such firm, company, corporation or one of CORE's wholly-owned subsidiaries) entity which is not engaged within the geographical area of the United States in competition with the business of the Company or any of its Affiliates, or any business of CORE or its Affiliatesthen such service shall not violate this Agreement. (b) Executive agrees that for a period commencing with on the date Effective Date of this Agreement and ending on the Covenant End Date: (i) Executive will not directly or indirectly solicit, hire or attempt to hire for any purpose whatsoever (whether as an employee, consultant, advisor, independent contractor or otherwise) any employee or consultant of the Company and or any of its Affiliates or any person who was an employee or consultant of any such corporation or corporations (and will not assist use best efforts to prevent any subsequent employer of Executive or related entity or person in from taking any such actions); (ii) Executive will not induce or attempt to induce any customer, client client, supplier, licensee or other business relation of the Company and or any of its Affiliates to cease doing business with the Company and or any of its Affiliates, Affiliates or in any way interfere with the relationship or potential relationship between any such customer, client, supplier, licensee or business relation relation, and the Company and or any of its Affiliates; and and (iii) Executive shall not solicit or attempt to solicit, or accept business from, any entity which at any time during the twelve month period prior to the date of termination of Executive's employment with the Company and its AffiliatesCompany, was a client or customer of the Company and or any of its Affiliates, Affiliates for the purpose of doing business with such client or customer in competition matters that compete with the business of the Company and or any of its Affiliates. For the purpose of this covenant, the clients and customers of the Company and or any of its Affiliates shall include those entities with which the Company and or any of its Affiliates had held discussions or negotiations concerning services of the Company and or any of its Affiliates which are in competition with Executive's solicited businessAffiliates.

COVENANT NOT TO COMPETE; NON-SOLICITATION; CONFIDENTIAL INFORMATION. (a) In consideration of and as an inducement to the Company to enter into this Employment Agreement, Executive shall not, for a period commencing on the date hereof Effective Date of this Agreement and ending on the later date through which severance payments of (i) September 30, 2001 or (ii) one year after Executive's termination of employment with the Company and its Affiliates (as defined in Base Salary are due pursuant to Section 9(h), below), for any reason (the later of (i8(e) or (ii8(f) above (such later date being referred to as the "Covenant End Date"), serve, directly or indirectly, as an operator, owner, partner, consultant, independent contractor, officer, director, sole proprietor or employee of any firm, company, corporation or entity (other than the Company and its Affiliates) which is engaged within the geographical area of the United States in competition with the businesses of CORE or one any of its Affiliates. However, in the event that Executive is serving in such fashion, but for a unit or CORE division of such firm, company, corporation or one of CORE's wholly-owned subsidiaries) entity which is not engaged within the geographical area of the United States in competition with the business of the Company or any of its Affiliates, or any business of CORE or its Affiliatesthen such service shall not violate this Agreement. (b) Executive agrees that for a period commencing with on the date Effective Date of this Agreement and ending on the Covenant End Date: (i) Executive will not directly or indirectly solicit, hire or attempt to hire for any purpose whatsoever (whether as an employee, consultant, advisor, independent contractor or otherwise) any employee or consultant of the Company and or any of its Affiliates or any person who was an employee or consultant of any such corporations (and will not assist any subsequent employer of Executive or related entity or person in taking any such actions);or (ii) Executive will not induce or attempt to induce any customer, client client, supplier, licensee or other business relation of the Company and or any of its Affiliates to cease doing business with the Company and or any of its Affiliates, Affiliates or in any way interfere with the relationship or potential relationship between any such customer, client, supplier, licensee or business relation relation, and the Company and or any of its Affiliates; and and (iii) Executive shall not solicit or attempt to solicit, or accept business from, any entity which at any time during the twelve month period prior to the date of termination of Executive's employment with the Company and its AffiliatesCompany, was a client or customer of the Company and or any of its Affiliates, Affiliates for the purpose of doing business with such client or customer in competition matters that compete with the business of the Company and or any of its Affiliates. For the purpose of this covenant, the clients and customers of the Company and or any of its Affiliates shall include those entities with which the Company and or any of its Affiliates had held discussions or negotiations concerning services of the Company and or any of its Affiliates which are in competition with Executive's solicited businessAffiliates.

COVENANT NOT TO COMPETE; NON-SOLICITATION; CONFIDENTIAL INFORMATION. (a) In consideration of and as an inducement to the Company to enter into this Employment Agreement, Executive shall not, for a period commencing on the date hereof and ending on the later of (i) September 30, 2001 or (ii) one year after Executive's termination of employment with the Company and its Affiliates (as defined in Section 9(h), below), for any reason reason, but not later than July 1, 2000 (the later end of (i) such one year period, or (ii) above being July 1, 2000, if applicable, shall be referred to as the "Covenant End Date"), serve, directly or indirectly, as an operator, owner, partner, consultant, officer, director, or employee of any firm, company, corporation or entity (other than the Company or one of its Affiliates, or CORE or one of CORE's wholly-owned subsidiaries) engaged within the geographical area of the United States North America in competition with the business of the Company or its Affiliates, or any business of CORE or its Affiliates. (b) Executive agrees that for a period commencing with the date of this Agreement and ending on the Covenant End Date: (i) Executive will not directly or indirectly solicit, hire or attempt to hire for any purpose whatsoever (whether as an employee, consultant, advisor, independent contractor or otherwise) any employee or consultant of the Company and its Affiliates or any person who was an employee or consultant of any such corporations (and will not assist use best efforts to prevent any subsequent employer of Executive or related entity or person in from taking any such actions); (ii) Executive will not induce or attempt to induce any customer, client supplier, licensee or other business relation of the Company and its Affiliates to cease doing business with the Company and its Affiliates, or in any way interfere with the relationship or potential relationship between any such customer, client, supplier, licensee or business relation and the Company and its Affiliates; and (iii) Executive shall not solicit or attempt to solicit, or accept business from, any entity which at any time during the twelve month period prior to the date of termination of Executive's employment with the Company and its Affiliates, was a client or customer of the Company and its Affiliates, for the purpose of doing business with such client or customer in competition with the Company and its Affiliates. For the purpose of this covenant, the clients and customers of the Company and its Affiliates shall include those entities with which the Company and its Affiliates had held discussions or negotiations concerning services of the Company and its Affiliates which are in competition with Executive's solicited businessAffiliates.
