Common use of Covenant Not to Withdraw, Transfer, or Dissolve Clause in Contracts

Covenant Not to Withdraw, Transfer, or Dissolve. Except as otherwise permitted by this Agreement, the General Partners hereby covenant and agree not to (a) withdraw or attempt to withdraw from the Partnership, (b) exercise any power under the Act to dissolve the Partnership, or (c) Transfer all or any portion of their interests in the Partnership as a General Partner. Further, the General Partners hereby covenant and agree to continue to carry out the duties of a General Partner hereunder until the Partnership is dissolved and liquidated pursuant to Section 11 hereof.

Further, the Managing General Partners Partner hereby covenant covenants and agree agrees to continue to carry out the duties of a the Managing General Partner hereunder until the Partnership is dissolved and liquidated pursuant to Section 11 hereof11.
