Covenant of Further Assurances. AMEX and Vendor covenant and agree that, subsequent to the execution and delivery of this Agreement and without any additional consideration, each of AMEX and Vendor shall execute and deliver any further legal instruments and perform any acts which are or may become necessary to effectuate the purposes of this Agreement.
