Common use of Covenant of Nondisclosure Clause in Contracts

Covenant of Nondisclosure. Except for disclosure of Confidential Information to other employees or consultants of the Company on a "need to know" basis in the course of performing employment services for the Company, Employee agrees not to disclose Confidential Information, directly or indirectly, under any circumstances or by any means, to any person or enterprise without the prior written consent of the Company, which consent may be granted or withheld by the company in its sole discretion.
