COVENANT TO CONVEY THE EAGLE MOUNTAIN PROPERTY. Seller hereby covenants and agrees that Seller shall execute and deliver, and cause its Affiliates to execute and deliver, such further instruments of sale, transfer, conveyance and assignment and to take other such action as may be necessary to vest in KEM title to all of the Eagle Mountain Property, if any, that might be held in the name of Seller or its Affiliates. The provisions of this Section 21.8 shall expressly survive the Closing.

  • Agreement to Sell and Contribute on the Closing Date On the terms and subject to the conditions set forth in this Agreement, Santander Consumer does hereby irrevocably sell, transfer, assign, contribute and otherwise convey to the Purchaser without recourse (subject to the obligations herein) on the Closing Date all of Santander Consumer’s right, title and interest in, to and under the Receivables, the Collections after the Cut-Off Date, the Receivable Files and the Related Security relating thereto, whether now owned or hereafter acquired, as evidenced by an assignment substantially in the form of Exhibit A delivered on the Closing Date (collectively, the “Purchased Assets”).   • Leasehold Financing Notwithstanding anything to the contrary contained in the Lease, Tenant shall have the right, without Landlord’s consent to encumber the leasehold estate created under the Lease and/or to grant a security interest in Tenant’s removable trade fixtures, furnishings and equipment located within the Leased Premises (but not to encumber Landlord’s fee interest in the Premises), to secure financing provided to Tenant by any bank, thrift institution, insurance company or other institutional lender. Tenant agrees to notify Landlord of any such encumbrance.
