Covenant to Sign Documents. Subject to the provisions of this Agreement, each party hereto agrees to execute, with acknowledgment or affidavit, if required, any and all documents and writings which, in the judgment of the Manager, may be necessary or expedient in connection with the Company, or any applicable Series, and the achievement of its purposes, specifically including all such agreements, certificates, tax statements, tax returns and other documents as may be required of the Company, a Series or the Members by the laws of the United States of America or any jurisdiction in which the Company or any Series conducts or plans to conduct business, or any political subdivision or agency thereof, including, but not limited to, certifications in accordance with the requirements of Code Section 1446 regarding withholding taxes on foreign persons.
