The Shareholder agrees that neither the Shareholder nor any of its Affiliates shall engage in any Prohibited Activity (i) at any time that the Shareholder, alone or together with its Affiliates has Beneficial Ownership of 20% or more of the outstanding Common Stock of the Company as a result of Repurchases pursuant to the Plan, or (ii) during the Standstill Period.
