Covenants and Undertakings. During the Interim Period, the Seller hereby covenants with and undertakes to the Purchaser that it: (a) shall not sell, transfer, assign or otherwise Encumber or dispose of any Sale Shares or to agree or commit to do any of the foregoing; and (b) shall, in general, refrain from any act or omission which may adversely affect the consummation of the Transaction.
