Covenants by the Customer Sample Clauses
The "Covenants by the Customer" clause sets out the specific promises and obligations that the customer agrees to fulfill under the contract. Covenants by the Customer. 17.1 Guarantee
a) The Customer has requested that Supplier extend credit terms to the Customer and acknowledges that the Customer will receive a valuable commercial benefit as a result of the extension of credit terms.
b) The Customer guarantees that it will pay all amounts payable to the Supplier from time to time under these Terms when they are due and this guarantee continues until the payment in full of those amounts.
c) The Customer must pay the Supplier’s costs of administering (including the enforcement of) this guarantee.
d) The Customer remains liable to the Supplier under this guarantee and the Customer’s obligations under this guarantee will not be affected by any refusal by a Supplier to provide further credit to the Customer or a variation in the terms of any agreement between the Supplier.
e) The Supplier may at any time release or discharge the Customer from this guarantee and give time for payment, accept any composition from or make any other arrangements with the Customer without releasing or discharging any other guarantor or otherwise prejudicing the Supplier’s rights and remedies against the Customer.
f) As long as this guarantee remains in existence, the Customer may not, without the Supplier’s consent, reduce the Customer’s liability under this guarantee by claiming that the Customer or any other person has a right of set-off or counterclaim against the Supplier.
g) Where the Customer is a partnership, no change in the constitution of the partnership shall affect, impair or discharge the liability of the Customer under this guarantee notwithstanding any legislation or statute to the contrary.
h) The Customer’s obligations to the Supplier under this document is a primary obligation and the Supplier is not required to proceed against or enforce any security or other right against the Customer or demand payment from the Customer before those amounts become due for payment.
Covenants by the Customer. The Customer covenants with Claimstant that during the tenor of the Service:
a) The Customer shall uphold under all and any circumstances the authorization given to the Insurance company by the Customer to make the Insurance claim payment directly to Claimstant.
b) The Customer shall ensure that the entire Service will be utilized for the Purpose as stated by the Customer in the Service Application Form and for no other purpose whatsoever.
c) The Customer confirms having understood and agrees to Claimstant’s method of calculating the Service charge and also that it is a one-time charge irrespective of the time period for repayment until the Due Date, which by virtue of being the date of claim payment by the Insurance Company, may make the time period for repayment variable. The Customer further confirms understanding that this premise of a fixed service charge irrespective of the time period of repayment until the Due date makes it all the more imperative that the Due date be honoured at all cost.
Covenants by the Customer. The Customer hereby agrees and covenants that:
9.1 The Customer is solely responsible for the accuracy any Online Request uploaded by it on BarodaINSTA in line with what is specified by the Bank from time to time.
9.2 The Customer shall provide a prior written notice of 7 (seven) days to the Bank before making any change in the Authorised Persons or their details. Any such changes informed by the Customer to the Bank shall be effective after the expiry of 7 (seven) Business Days from the Bank receiving notice / intimation of such changes from the Customer.
9.3 The Customer shall immediately notify the Bank of any unauthorised use of access information in connection with BarodaINSTA or any other suspected breach of security. The Customer agrees that it shall be liable for any misuse that can be attributed to the Customer having wilfully, or through negligence given an unauthorized person access to information that enabled such person to access BarodaINSTA as one of the Customer’s Authorized Person.
9.4 The Customer shall establish necessary internal standard procedures to ensure that only Authorised Persons have access to and are able to log on to BarodaINSTA and shall keep confidential and not divulge such access data (including the user ID and/or password) to any other person. The Customer agrees to comply with and ensure that each Authorised Person complies with the terms of this Agreement and any other instructions or recommendations that the Bank may issue to the Customer regarding security in relation to use of Online Requests and BarodaINSTA and shall be solely responsible for the set-up, maintenance and review of its security arrangements concerning access to and use of
9.5 The Customer undertakes to ensure that it shall not: (i) use, copy, modify, translate, merge or create derivative works of BarodaINSTA except as expressly provided in the Terms of Use; (ii) disable or circumvent any licensing control feature on BarodaINSTA; (iii) reverse- engineer, disassemble BarodaINSTA or permit any such actions, as applicable; (iv) sell, distribute, lend, sublicense, rent or lease all or any portion of its access rights BarodaINSTA; (v) use BarodaINSTA to develop or enhance any product that competes, directly or indirectly, in the Bank’s sole determination, with the products and services offered by the Bank; (vi) use BarodaINSTA in any way that would infringe any Intellectual Property Rights of third parties; or (vii) use BarodaINSTA in a manner that would vi...
