COVENANTS OF PURCHASER, GTI AND GLENAYRE. (a) During the period from the date hereof and continuing until the Closing Date (except as expressly contemplated or permitted hereby, or to the extent Purchaser consents in writing (which consent shall not be unreasonably withheld or delayed) in the case of GTI's and Glenayre's obligations and to the extent GTI and Glenayre consent in writing (which consent shall not be unreasonably withheld or delayed) in the case of Purchaser's obligations, each of GTI, Glenayre and Purchaser covenants with the others that, insofar as the obligations relate to it and subject to the terms and conditions of this Agreement, it shall cooperate and use its reasonable efforts to cause the conditions to the other party's obligation to close the Transactions as provided in Article 6 to be fulfilled as expeditiously as is reasonably practicable.
