Common use of Covenants of the Administrator and the Transfer Agent Clause in Contracts

Covenants of the Administrator and the Transfer Agent. 11.1 The Administrator shall furnish the following to the Transfer Agent as soon as reasonably practicable: (a) A certified copy of the resolution of the Board of Trustees of each Trust authorizing the appointment of the Transfer Agent and the execution and delivery of this Agreement; and (b) A copy of the organizational documents of each Trust and all amendments thereto. 11.2 The Transfer Agent hereby agrees to establish and maintain facilities and procedures reasonably acceptable to the Administrator on behalf of each Trust and the Portfolios for safekeeping of stock certificates, check forms and facsimile signature imprinting devices, if any; and for the preparation or use, and for keeping account of, such certificates, forms and devices.
