Covenants of The Asset Trust. The Asset Trust hereby covenants and agrees that, at all times prior to the termination of the Put Option it shall not amend, restate, revise or otherwise alter the rights, terms and preferences of the Asset Trust Securities, whether by operation of merger, reorganization or otherwise, and it will not register the Asset Trust Securities with the Securities and Exchange Commission under the Securities Act of 1933, as amended, without the consent of XLFA.
