Common use of Covenants of the Fund and the Transfer Agent Clause in Contracts

Covenants of the Fund and the Transfer Agent. 10.1 The Transfer Agent hereby agrees to establish and maintain facilities and procedures reasonably acceptable to the Fund for the secure safekeeping of stock certificates, check forms and facsimile signature imprinting devices, if any; and for the preparation or use, and for keeping account of, such certificates, forms and devices. 10.2 In performing the services hereunder, the Transfer Agent shall comply with the applicable provisions of the Fund’s current prospectus(es) and statement(s) of additional information, and effective amendments thereto. The Fund shall promptly provide the Transfer Agent with copies of such material as soon as available and, upon request, copies of any applicable resolutions by the Fund’s Board of Trustees which relate to the Shares.
