Covenants of the Managers and the Developer Member. (a) The Managers shall cause the Company to pay when due (i) the principal of and the interest on the Loan in accordance with the terms of the Loan Documents and (ii) the Preferred Return and the Required Redemption Amount in accordance with the terms of this Agreement. The Managers shall also cause the Company to pay all charges, fees and other sums required to be paid by the Company as provided in the Loan Documents, in accordance with the terms of the Loan Documents, and shall cause the Company to observe, perform and discharge all obligations, covenants and agreements to be observed, performed or discharged by the Company set forth in the Loan Documents in accordance with their terms. Further, the Managers shall cause the Company to promptly and strictly perform and comply with all covenants, conditions, obligations and prohibitions required of the Company in connection with any other document or instrument affecting title to the Project, or any part thereof.
