Common use of Covenants of the Subscriber Clause in Contracts

Covenants of the Subscriber. (1) The Subscriber will comply with Applicable Securities Laws concerning the subscription, purchase, holding and resale of the Subscribed Shares and will consult with its legal advisers with respect to complying with resale restrictions under Applicable Securities Laws with respect to the Subscribed Shares. (2) The Subscriber will execute, deliver, file and otherwise assist the Corporation in filing any reports, undertakings and other documents required under Applicable Securities Laws in connection with the offer, sale and issuance of the Subscribed Shares.

Covenants of the Subscriber. Covenants of the Subscriber. (1) The Subscriber will comply covenants and agrees with Applicable Securities Laws concerning the subscriptionCorporation that the Subscriber will: (a) execute and deliver all documentation as may be required by applicable securities legislation, purchase, holding and resale of the Subscribed Shares and will consult with its legal advisers with respect to complying with resale restrictions under Applicable Securities Laws policy or order or by any securities commission or other regulatory authority with respect to the Subscribed issuance of the Shares and the Warrant Shares.; and (2b) The Subscriber will execute, deliver, file and otherwise assist notify the Corporation in filing any reports, undertakings and other documents required under Applicable Securities Laws in connection with writing forthwith at the offer, sale and issuance address of the Subscribed SharesCorporation in the event of a change in any of the foregoing representations and warranties.
