Common use of Covenants to Survive, Binding Agreement Clause in Contracts

Covenants to Survive, Binding Agreement. All covenants, agreements, warranties, representations and statements of any Borrower made herein, in the Notes, in any of the other Credit Documents or in any certificates or other documents delivered by or on behalf of any Borrower pursuant hereto shall be deemed to have been relied on by each of the Co-Administrative Agents and each of the Banks notwithstanding any investigation heretofore or hereafter made by it, and shall survive the advances of money made by any Bank to any Borrower hereunder, the delivery of the Notes and each of the other Credit Documents and all such covenants, agreements, warranties and representations shall be binding upon the Company and inure to the benefit of the Bank(s) and their respective successors and assigns, whether or not so expressed.
