Creation and Declaration of Trust; Grant of Term Assets; Acceptance by Trustee. (a) The Depositor, concurrently with the execution and delivery hereof and pursuant to Section 2.1 of the Agreement, has delivered or caused to be delivered to the Trustee the Term Assets in exchange for the delivery to, or at the direction of the Depositor, of all of the Certificates, representing the entire beneficial interest in all of the assets of the Trust.
