Common use of Creation and Grant of Automatic Exchange Clause in Contracts

Creation and Grant of Automatic Exchange. (a) TCPL hereby grants the Automatic Exchange together with its undertaking to, and covenants in favour of, the Exchange Trustee, as trustee for and on behalf of, and for the use and benefit of, the Holders of Trust Notes — Series 2019-A, to make the Automatic Exchange effective in accordance with and subject to the Trust Notes — Series 2019-A Provisions and the provisions of this Agreement. TCPL hereby acknowledges receipt from the Exchange Trustee, as trustee for and on behalf of the Holders of Trust Notes — Series 2019-A, of good and valuable consideration for such grant, undertaking and covenant and the sufficiency thereof.
