Common use of Creditors’ and Debtors’ actions Clause in Contracts

Creditors’ and Debtors’ actions. Each Creditor and Debtor shall, at the sole costs and expenses of the Borrower: (a) do all things that the Security Agent requests in order to give effect to this Section (which shall include the execution of any assignments, transfers, releases or other documents that the Security Agent may consider to be necessary to give effect to the releases or Disposals contemplated by this Section); and (b) if the Security Agent is not entitled to take any of the actions contemplated by this Section or if the Security Agent requests that any Creditor or Debtor take any such action, take such action itself in accordance with the instructions of the Security Agent, provided that the proceeds of those Disposals, the Acquisition Proceeds and the Net Insurance/Condemnation Proceeds are applied in accordance with Section 11.1, Section 11.2 or Section 11.3, as the case may be.

Each Creditor and each Debtor shall, at the sole costs and expenses of the Borrower: will: (a) do all things that the Security Agent requests in order to give effect to this Section 14 (which shall include include, without limitation, the execution of any assignments, transfers, releases or other documents that the Security Agent may consider (acting reasonably) to be necessary to give effect to the releases or Disposals disposals contemplated by this SectionSection 14); and and (b) if the Security Agent is not entitled to take any of the actions contemplated by this Section 14 or if the Security Agent requests that any Creditor or and any Debtor take any such action, take such that action itself in accordance with the instructions of the Security Agent, ; provided that the proceeds of those Disposals, the Acquisition Proceeds and the Net Insurance/Condemnation Proceeds disposals are applied in accordance with Section 11.1, Section 11.2 or Section 11.3, as the case may be14.3.

Each Creditor and Debtor shall, at the sole costs and expenses of the Borrowerwill: (a) do all things that the Security Agent reasonably requests in order to give effect to this Section Clause 13 (which shall include include, without limitation, the execution of any assignments, transfers, releases or other documents that the Security Agent may reasonably consider to be necessary to give effect to the releases or Disposals disposals contemplated by this Section)Clause 13; and (b) if the Security Agent is not entitled to take any of the actions contemplated by this Section Clause 13 or if the Security Agent requests that any Creditor or Debtor take any such action, take such that action itself in accordance with the reasonable instructions of the Security Agent, provided that the proceeds of those Disposals, the Acquisition Proceeds and the Net Insurance/Condemnation Proceeds disposals are applied in accordance with Section 11.1, Section 11.2 Clause 13.1 (Non-Distressed Transactions) or Section 11.3Clause 13.2 (Distressed Disposals), as the case may be.
