Cross Default; Right of Set-off. (a) The parties hereby agree that Buyer's obligations to make payments to Seller hereunder for Rounds during each Settlement Period are expressly conditioned upon and subject to the prior satisfaction in full by Seller of any and all of its payment obligations to USS under the Coke Supply Agreement, the Pellet Supply Agreement and the Services Agreement.
