Current and Future Liabilities. As of November 1, 2019 (the “Effective Date”), Novomic shall assume and bear any and all of the costs and expenses relating to the operations and activities of Novomic, as such will be incurred from time to time. Buyer shall make its best efforts to cause the release of the Seller from any liability, cost, expense, undertaking and/or obligation in connection with Novomic, prior to the Closing. For avoidance of any doubt, the Seller hereby declares and represents before the Buyer that as of the Effective Date, Novomic has no debts, liabilities, unpaid obligations and/or undertakings of any kind (“Liabilities”) to the Seller and the Seller hereby waives all and any such Liabilities.
