Common use of Current Disclosure Clause in Contracts

Current Disclosure. If after January 1st of any year, Employee becomes aware of other facts which may involve an actual or potential conflict of interest, Employee shall file a written statement with the Chairman of the Audit Committee of the Board within fifteen (15) days of Employee becoming aware of such facts. The statement shall set forth the details surrounding the actual or potential conflict of interest and shall include a request for a waiver of such conflict. Business gifts shall be disclosed in accordance with the applicable provision of the Code.
