Current Proceedings. 10.1.1 The Transferor and the Company are not involved whether as claimant or defendant in any existing or potential or threatened claim, legal action, proceeding, suit, litigation, prosecution, investigation, enquiry, mediation or arbitration (other than as claimant in the collection of debts arising in the ordinary and usual course of the business (none of which exceeds US$50,000)) which, if adversely determined, would reasonably be expected to have a material adverse effect on the ability of the Transferor to perform its obligations under this Agreement or to result in any liability of the Company.
