Custodial Files. The Seller shall, prior to the Closing Date and each Funding Date, in accordance with this Agreement and the Custodial Agreement, have delivered or caused the delivery to the Custodian a Timeshare Loan File for each Timeshare Loan, which Timeshare Loan File shall be complete and verified by the Custodian in accordance with the Custodial Agreement.
