Custodian Certification. The Custodian shall, in each Custodian Certification, certify and confirm as to each Option File listed on the Option Asset Schedule that, except as noted on the Exception Report attached to such Custodian Certification: (i) all Option Documents required to be delivered to it pursuant to Section 3 and hereof are in the Custodian’s possession; and (ii) all documents contained in the Option File as described on the attached Schedule I have been reviewed by the Custodian and appear regular on their face and relate to such applicable Option File.
Custodian Certification. The Document Custodian shall, in each Custodian Certification, certify and confirm as to each Collateral File listed on the Collateral Schedule that, except as noted on the Exception Report attached to such Custodian Certification: (a) all documents required to be delivered to it pursuant to Section 3 and hereof are in the Document Custodian’s possession; and (b) all documents contained in the Collateral File as described on the attached Schedule I have been reviewed by the Document Custodian and appear regular on their face and relate to such applicable Collateral File.

Custodian Certification. The Custodian shall, in each Custodian Certification, certify and confirm as to each Quota Share File listed on the Quota Share Schedule that, except as noted on the Exception Report attached to such Custodian Certification: (i) all documents required to be delivered to it pursuant to Section 2 of this Appendix are in the Custodian’s possession; and (ii) all documents contained in the Quota Share File as described on the attached Schedule I have been reviewed by the Custodian and appear regular on their face and relate to such applicable Quota Share File.
Custodian Certification. The Custodian shall, in each Custodial Certification, certify and confirm as to each Document File listed in the Delivery Transmittal Form, as applicable, that, except as noted on the schedule of exception report attached to the related Custodial Certification: (a) all documents required to be delivered to it pursuant to Section 3.1(a) and (b) hereof are in the Custodian’s possession, except as otherwise noted in such exception report; and (b) all documents contained in the Document File as described in the Delivery Transmittal Form delivered to it pursuant to Section 3.1(a) and (b) hereto, have been reviewed by the Custodian and appear regular on their face and relate to such applicable Related Assets.

  • Custodian May Own Certificates The Custodian in its individual or any other capacity may become the owner or pledgee of Certificates with the same rights it would have if it were not Custodian.

  • Trustee and Certificate Administrator May Own Certificates The Trustee, the Certificate Administrator and any agent of the Trustee or the Certificate Administrator, each, in its individual capacity or any other capacity, may become the owner or pledgee of Certificates, and may deal with the Depositor and the Master Servicer in banking transactions, with the same rights it would have if it were not Trustee, the Certificate Administrator or such agent, as the case may be.

  • TERMINATION CERTIFICATION Upon separation from employment with the Company, I agree to immediately sign and deliver to the Company the “Termination Certification” attached hereto as Exhibit C.
