Common use of Custodians and nominees Clause in Contracts

Custodians and nominees. The Security Agent and Secondary Security Agent may appoint and pay any person to act as a custodian or nominee on any terms in relation to any assets of the trust as the Security Agent or Secondary Security Agent (as applicable) may determine, including for the purpose of depositing with a custodian this Agreement or any document relating to the trust created under this Agreement and neither the Security Agent nor the or Secondary Security Agent (as applicable) shall be responsible for any loss, liability, expense, demand, cost, claim or proceedings incurred by reason of the misconduct, omission or default on the part of any person appointed by it under this Agreement or be bound to supervise the proceedings or acts of any person.

The Security Agent and Secondary Security Agent may appoint and pay (following the occurrence of an Acceleration Event or as otherwise agreed in writing with NAC 29, acting reasonably) any person to act as a custodian or nominee on any terms in relation to any assets asset of the trust as the Security Agent or Secondary Security Agent (as applicable) may determine, including for the purpose of depositing with a custodian this Agreement or any document relating to the trust created under this Agreement and neither the Security Agent nor the or Secondary Security Agent (as applicable) shall not be responsible for any loss, liability, expense, demand, cost, claim or proceedings incurred by reason of the misconduct, omission or default on the part of any person appointed by it under this Agreement or be bound to supervise the proceedings or acts of any person.

The Facility Security Agent and Secondary Security Agent Trustee may (to the extent legally permitted) appoint and pay any person to act as a custodian custodian, nominee or nominee delegate on any terms in relation to any assets of the trust as the Facility Security Agent or Secondary Security Agent Trustee may determine (as applicableincluding the power to sub-delegate) may determine, including for the purpose of depositing with a custodian this Agreement or any document relating to the trust created under this Agreement and neither the Facility Security Agent nor the or Secondary Security Agent (as applicable) Trustee shall not be responsible for any loss, liability, expense, demand, cost, claim or proceedings incurred by reason of the misconduct, omission or default on the part of any person appointed by it under this Agreement or be bound to supervise the proceedings or acts of any person.

The Security Agent and Secondary Common Security Agent may appoint and pay any person to act as a custodian or nominee on any terms in relation to any assets asset of the trust and/or any asset by it as agent as the Common Security Agent or Secondary Security Agent (as applicable) may determine, including for the purpose of depositing with a custodian this Agreement or any document relating to the trust and/or agency created under this Agreement or the Debt Documents and neither the Common Security Agent nor the or Secondary Security Agent (as applicable) shall not be responsible for any loss, liability, expense, demand, cost, claim or proceedings incurred by reason of the misconduct, omission or default on the part of any person appointed by it under this Agreement or be bound to supervise the proceedings or acts of any person.
