In addition to the services expressly provided for in the foregoing subsections of this Section 3(a), BNYM shall perform for the Fund all services that it customarily performs for its transfer agency, registrar, dividend disbursing and shareholder servicing clients as part of the bundled services for which the “Structural Fees” as set forth in the Fee Agreement are paid, with the exception that the Fund may access and use only those Listed Systems (as defined in Schedule C) of the BNYM System (as defined in Schedule C) that are expressly designated in the Fee Agreement either as part of the “Per Account” Structural Fees or with respect to which a standalone access fee is charged.
Customary Services. Landlord shall provide the following services, all of which shall be considered Operating Expenses:
(a) Heating and cooling to the Premises to provide reasonably comfortable levels of temperature and ventilation consistent with applicable building codes and regulations for the occupants of the Premises under normal business operation. Business hours for the Premises shall be between the hours of 7:00 a.m. and 7:00 p.m. Monday through Friday and 8:00 a.m. to 12:00 p.m. on Saturdays but there shall be excluded from business days Connecticut and federal holidays that are normally observed by general business offices.
(b) Water service for lavatory purposes and for drinking, lavatory and toilet purposes at a central service area on each floor.
(c) Cleaning and janitorial services including rubbish removal, to the Premises in accordance with Cleaning Specifications, annexed hereto as EXHIBIT E, provided the same are kept in reasonable order by Tenant. ---------
(d) Free and unobstructed access to the Premises on business days and access at all other times subject to reasonable security restrictions from time to time in effect, and subject always to restrictions based on emergency conditions. Landlord shall provide keys or other security devices which will permit such access outside of the hours and days above specified.
(e) Cleaning and janitorial services to the Common Areas, the other public areas of the Building and Property and the exterior walls of the Buildings (including the exterior glass), and removal of snow and ice from the parking areas, sidewalks and walkways included in the Property, also as to maintain such areas in a clean and neat condition commensurate with similar office buildings in the New Haven, Connecticut area.
(f) Electricity for Tenant's general office uses (i.
Customary Services. Service Provider shall provide any other customary services that are not explicitly enumerated in the Agreement but are necessary to the delivery of the Services.

Customary Services. Heinz shall provide all of the usual and customary services of a distributor, which shall include without limitation the following:
(a) Use its reasonable best efforts to distribute and sell the Products in the Territory, and to extend the distribution and sale of the Products in the Territory so as to maximize such distribution, and to meet or exceed the annual volume sales targets agreed to by the parties. The services shall be consistent with and no less than the services performed by Heinz in connection with the sale and distribution of its products. Heinz shall provide to Merisant forecasts of purchases of Product and ship-to-trade for the upcoming month and rolling twelve (12) month period, at least fifteen (15) days prior to the beginning of the month in question. Such forecasts shall be stated in the aggregate and broken down by SKU.
(b) Maintain an aggressive direct sales force and trained personnel adequate for the needs of the Territory, maintaining such office, warehouse and distribution facilities as shall be reasonably necessary.
(c) Regularly monitor and handle the Products at Heinz's distribution centers and third party warehouses to ensure their proper storage, handling and continued conformance to an "excellent" rating pursuant to the AST Food Warehousing Grading Guidelines, version 1/95.F5.1, a copy of which has been provided to each party.
(d) Manage inventory rotation of the Products on a "code out" (FIFO) basis. Any obsolescence of the Products which was the result of improperly managed inventory rotation, as mutually agreed by the parties, will be for the sole account of Heinz. Costs will relate to the manufacturing and distribution costs of the obsolete Products and destruction costs. All costs of obsolete Products due to reasons other than improper rotation on the part of Heinz will be borne by Merisant.
(e) Annually, complete and deliver to Merisant a physical inventory by DC by SKU by date code.
(f) Follow the sales policy and procedures set forth in Exhibit "C" to this Agreement.
