Customer Records. Customer grants to Cisco and its independent accountants the right to examine Xxxxxxxx's books, records and accounts during Customer's normal business hours to verify compliance with this Agreement. In the event such audit discloses non-compliance with this Agreement, Customer shall promptly pay to Cisco the appropriate license fees, plus the reasonable cost of conducting the audit.
Customer Records. Customer shall keep complete and accurate records of its operations hereunder and shall maintain such data as may be necessary to determine with reasonable accuracy any item relevant to this Agreement. Provider shall have the right to examine all such records insofar as may be necessary for the purpose of ascertaining the reasonableness and accuracy of any statements of costs relating to transactions hereunder.
Customer Records. The Parties will maintain the confidentiality of all customer records and files in accordance with applicable federal and state laws and regulations. On the Closing Date, Seller agrees to deliver to Buyer all original customer records and files that relate to the purchase and delivery of computer training for the Business, including the files which relate to the Training Obligations. In the event that Seller is audited by any federal, state or local entity following the Effective Date, Buyer shall provide Seller or its designees with reasonable access, during normal business hours, to all original customer files related to the Purchased Assets.
Customer Records. This Agreement and the Services are not intended to relieve Customer of any obligation imposed by law or contract regarding the maintenance of records or from employing adequate audit, accounting, and review practices as are customarily followed by similar businesses. Customer agrees to retain and provide to the Bank, upon request, all information necessary to remake or reconstruct any deposit, transmission, file, or entry until ten business days following receipt by the Bank of the deposit, file, entry, transmission, or other order affecting an account.
Customer Records. Customer grants to Company and its independent accountants the right to examine Customer’s books, records and accounts to verify compliance with this Agreement, provided that such examination does not occur more than once every twelve months. If such audit discloses non-compliance with this Agreement, Customer shall promptly pay to Company the appropriate License Fees, plus the reasonable cost of conducting the audit. The foregoing right shall be limited to examination of only those records which are relevant to determining compliance with this Agreement, will be conducted at a time and location mutually agreeable to Company and the Customer, and shall be conducted in a manner to minimize business interruption of the Customer.
Customer Records. Landlord is not being given, nor is Landlord expected to have access to, any records or information about Tenant’s customers that is subject to the Xxxxx-Xxxxx-Xxxxxx Act or any other applicable federal or state Law protecting the privacy of banking customers (“Customer Records”), and it is Tenant’s sole obligation to comply with any such Laws and to protect the confidentiality of its records and information relating to its customers. In the event Landlord takes possession of any Customer Records due to an Event of Default, whether such Customer Records are in paper, electronic, or other format, Xxxxxxxx’s sole obligation with respect to such records or information is to use commercially reasonable efforts to secure such Customer Records and to promptly notify Tenant, at the Tenant Notice Address, of the location of such Customer Records. Notwithstanding anything to the contrary contained in this Lease, Tenant shall be entitled to take possession of such Customer Records. In no event shall the Customer Records become the property of Landlord; and, until such time as Landlord is able to return the Customer Records to Tenant, Landlord shall continue to securely store and maintain the Customer Records, at Tenant’s sole cost and expense; provided, in no event shall Landlord access, read or use the Customer Records for any purpose. The obligations contained in this Section 50 shall survive the expiration or sooner termination of this Lease.
Customer Records. For Commercial Customers: GDMS and its independent accountants reserve the right to conduct an audit of Customer records to verify compliance with this agreement. Customer grants to GDMS and its independent accountants access to its books, records and accounts during Customer's normal business hours in support of such an audit. Customer shall pay to GDMS the appropriate license fees, plus the reasonable cost of conducting the audit should an audit disclose non-compliance with this Agreement. For U.S. Government Customers: United States Government Customers agree to review usage monitor logs, software logs and other relevant Customer records to verify Customer’s compliance with this Agreement and to promptly inform GDMS of any violation of their obligations hereunder and to promptly enter into discussions with GDMS and any relevant prime contractor to discuss the payment of reasonable costs and reasonable attorneys’ fees within the Contracts Disputes Act of 1978, as amended.
Customer Records. To the extent not previously provided to Buyer, Seller shall use commercially reasonable efforts to make available, upon reasonable request from Buyer, all readily available billing and service records for goods sold or services provided to customers of the Exchanges prior to Closing for so long as such records are required to be maintained by applicable law.
Customer Records. All documents arising from or related to the performance of Services for the Company, or its customers or Clients, are the sole property of the Company or its Clients, and constitute Confidential Information as defined in Section 6.1 hereof. In addition, Consultant agrees that the identities and contact information of Clients and customers of the Company are “trade secrets” within the meaning of the Virginia Uniform Trade Secrets Act.
Customer Records. The data contained in the customer records provided to Buyer is true and accurate.
