Customized Site. Collectively, each version of the WebMD Site that is customized for distribution through the AOL Properties in accordance with this Agreement. For purposes of clarity, the Parties agree that the Customized Site shall be hosted and served by WebMD from outside the AOL Network.
Customized Site. The Affiliated MP Site shall be an optimized and --------------- "mirrored" version of MP's main web site containing the specific Content described in Section 2.2 below for-distribution hereunder according to AOL specifications and guidelines to ensure that (i) the functionality and features within the Affiliated MP Site are optimized for the client software then in use by a majority of AOL Members and (ii) the forms used in the Affiliated MP Site are designed and populated in a manner intended to minimize delays when AOL Users attempt to access such forms.
Customized Site. The Affiliated MOP Site shall be an optimized and "mirrored" version of MP's main web site containing the specific Content described in Section 2.2 below for distribution hereunder according to AOL specifications and guidelines to ensure that (i) the functionally and features within the Affiliated MP Site are optimized for the client software then in use by a majority of AOL Members (as determined by AOL and communicated to MP) and (ii) the forms used in the Affiliated MP Site are designed and populated in a manner intended to minimize delays when AOL Users attempt to access such forms. The Affiliated MP Site may include up to four (4) Rainman screens as mutually determined by AOL and MP. In the event that the Parties shall create any Rainman screens, AOL shall determine, in its sole discretion, which of its proprietary publishing tools (each a "Tool") shall be made available to MP in order to develop and implement the Rainman screens. Additionally, AOL shall provide MP with an appropriate level of training with respect to the use of such Tools, as determined by AOL in its sole discretion. MP shall be granted a nonexclusive license to use any such Tool, which license shall be subject to: (a) MP's compliance with all rules and regulations relating to use of the Tools, as published from time to time by AOL, (b) AOL's right to withdraw or modify such license at any time, and (c) MP's express recognition that AOL provides all Tools on an "as is" basis, without warranties of any kind.
Customized Site. 4.1. The parties shall negotiate in good faith an agreement pursuant to which Sportsline will develop the Customized Site such that if a Reuters Subscriber accesses the Sportsline Site, the Customized Site will be displayed. This agreement shall contain provisions under which Reuters is paid a share of the revenue from such Customized Site. Sportsline's obligations are subject to the technological feasibility of providing the Customized Site.
Customized Site. The Affiliated MP Site shall be an optimized and customized version of MP's main web site containing the specific Content described in Section 2.2 below for distribution hereunder according to AOL specifications and guidelines to ensure that (i) the functionality and features within the Affiliated MP Site are optimized for the client software then in use by a majority of AOL Members and (ii) the forms used in the Affiliated MP Site are designed and populated in a manner intended to minimize delays when AOL Users attempt to access such forms. In connection with the foregoing, AOL will provide MP with notification of changes and updates in technology and functionality in accordance with its generally applicable procedures for notifying AOL's other partners of such changes and updates, and after receipt of such notification, MP shall have a reasonable amount of time (not to exceed thirty (30) days) within which to effectuate such changes and updates.
Customized Site. 2.1. CREATION OF CUSTOMIZED SITE. AG will create customized, co-branded versions of AG's primary Interactive Site (or more than one customized version of AG's primary Interactive Site, if necessary), which customized Interactive Sites shall comply with all requirements set forth in Sections 2.2 and 2.3, and all other requirements of this Agreement (collectively, such site(s), as they or their successors may exist and be modified hereafter consistent with the terms hereof, shall be referred to herein as the "Customized Site"). AG shall be responsible for all costs and expenses directly related to the development, creation, communications, hosting and connectivity associated with the Customized Site, unless and to the extent otherwise expressly set forth herein and excluding the costs and expenses of operating and maintaining the AOL Network. Each page of the Customized Site shall have AOL or AOL affiliate branded headers/toolbars (in mutually agreed size and design, but substantially similar to AOL's other major commerce partners (e.g., eBay)), shall have the appropriate look and feel for the applicable AOL brand and navigation back thereto, and, except as otherwise provided below, shall be located on the URL for the appropriate AOL affiliate (e.g., www.xx.xxx.xxx xx www.xx.xxxxxxxxxx.xxx, provided that AOL makes use of such URL available to AG at no charge) such that AOL receives credit for all traffic thereto, in each case in accordance with AOL's (or the applicable AOL affiliate's) then current generally applicable standards, and contain a navigational link to the appropriate property of the AOL Network. AOL shall cooperate with AG and any third party traffic measurement service (e.g., Media Metrix), to facilitate AG's also receiving credit for traffic to such URL as part of its overall network. Without limiting the foregoing, AOL shall issue a duly authorized letter to such traffic measurement services requesting such credit for AG) (the "Traffic Letter"). In addition to the foregoing, AOL will ensure that AG gets credit (including at least as listed by [ ] in publicly announced traffic measurements regarding unique visitors) for the full reach of unique visitors to the Customized Site, including by, if and to the extent necessary to achieve such result, [
Customized Site. The specific customized area(s) or web site(s) to be promoted and distributed by AOL hereunder through which AG can market and complete transactions regarding its Products, as more further described in Section 2.
Customized Site. [*]. The aggregate number of [*] each of the applicable Customized Sites from the AOL Network during any one calendar month (independent of the number of [*]) (e.g., in the event an [*] multiple Customized Sites from the AOL Network in a given calendar month, then such [*] shall be counted as one Customized Site [*] for each Customized Site [*] for such calendar month).

Customized Site. (a) ICP shall establish a version of its Internet site and Content, currently located at URL:xxxx://xxx.xxxxxxxxx.xxx (the "Standard Site"), which is customized for distribution through the AOL Network in accordance with this Second Addendum (the "Customized Site"). For the duration of the Second Addendum Term (as defined in Section 6 below), the Customized Site shall be considered Licensed Content, an ICP Internet Site and an ICP Site under the Agreement, and all terms and conditions of the Agreement applicable to Licensed Content, an ICP Internet Site and ICP Site shall apply equally to the Customize Site. The definition of ICP Internet Site shall be modified to add the following phrase at the end of the current definition: "and (iii) the Customized Site (as that term is defined in the Second Addendum hereto)." In addition, the following terms shall apply (in the event that the terms below conflict with terms of the Agreement, the terms below shall control with respect to the Customized Site):
