Pricing and Terms. MP will ensure that: (i) the prices (and any other required consideration) for Products in the Affiliated MP Site do not exceed the prices for the Products or substantially similar Products offered by or on behalf of MP through any Additional MP Channel; (ii) the terms and conditions related to Products in the Affiliated MP Site are no less favorable in any respect to the terms and conditions for the Products or substantially similar Products offered by or on behalf of MP through any Additional MP Channel; and (iii) both the prices and the terms and conditions related to Products in the Affiliated MP Site are reasonably competitive in all material respects with the prices and terms and conditions for the Products or substantially similar Products offered by any MP Competitor through any Interactive Site.
Pricing and Terms. The prices, terms and conditions for Services in the MP Areas shall be (i) no less favorable in any respect than the prices, terms and conditions for the Services or substantially similar Services offered by or on behalf of MP through any Additional MP Channel (other than non-permanent special offers offered through Additional MP Channels other than www.xxxxxxxxxxxx.xxx, xxat cannot be reasonably duplicated for ICQ Users) and (ii) in the aggregate generally competitive with similarly situated Section 3.5 Entities in the same market space.
Pricing and Terms i. The pricing for Blackboard Solutions offered by TIPS to Customers is set forth in Exhibit A and shall remain in effect for the Initial one (1) year Term of the Agreement and subject to pricing and products updates thereafter during the three (3) term or if exercised, addition one (1) year extended term, of the Agreement. The pricing offered to Customers pursuant to this Agreement during the first year of this Agreement shall not exceed the TIPS price for the applicable Blackboard Solution which is set forth in Exhibit A hereto, exclusive of any other discounts or promotions that may be offered or available to the Customer.
ii. TIPS may share the Blackboard Standard Price List with TIPS Members but otherwise shall keep the Blackboard Standard Price List strictly confidential and shall not provide a copy to any third party per instructions provided to TIPS on the submitted Confidentiality Claim Form, which may be updated at will by Blackboard and submitted to TIPS.

DigitalWork will ensure that: (i) the prices (and any other required consideration) for Products in the Co-Branded Site do not exceed the prices for the Products or substantially similar Products offered by or on behalf of DigitalWork through any Additional DigitalWork Channel; (ii) the terms and conditions related to Products in the Co-Branded Site are no less favorable in any respect to the terms and conditions for the Products or substantially similar Products offered by or on behalf of DigitalWork through any Additional DigitalWork Channel; and (iii) both the prices and the terms and conditions related to the overall Product line in the Co-Branded Site are reasonably competitive in the aggregate with the prices and terms and conditions for the Products or substantially similar Products (taking into account relative quality) offered by any comparable third party.

MP will ensure that: (i) the prices (and any ----------------- other required consideration) for Products in the Affiliated MP Site do not exceed the prices for the Products or substantially similar Products offered by or on behalf of MP through the MP Interactive Site for the same geographical area during the same time period; and (ii) the terms and conditions related to Products in the Affiliated MP Site are no less favorable in any respect to the terms and conditions for the Products or substantially similar Products offered by or on behalf of MP through the primary MP Interactive Site for the same geographical area during the same time period; and (iii) the prices in the aggregate for "[***] CONFIDENTIAL TREATMENT REQUESTED. OMITTED PORTIONS FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION]" MP's top [***] grocery Products shall be no higher than [***] percent ([***]%) above of the prices of such Products offered by any MP Competitor through any Interactive Site for sale in the same geographic area during the same time period.
Pricing and Terms. Onvia will ensure that: (i) on the whole, the prices (and any other required consideration) for Products in the Co- Branded Site do not generally exceed the prices for the Products or substantially similar Products offered by or on behalf of Onvia through any Additional Onvia Channel; and (ii) the terms and conditions related to Products in the Co-Branded Site are generally no less favorable than the terms and conditions for the Products or substantially similar Products offered by or on behalf of Onvia through any Additional Onvia Channel.
Pricing and Terms. Terms of payment are 100% prepaid by dealer before shipping. Dealer agrees to make payment for the Products in accordance with the schedule and amounts set forth in the invoices and price lists provided by MD. Prices are subject to change without notice. Customer agrees to pay prices in effect at the time of shipment. There will be a $75 charge for every check returned due to insufficient funds.
Pricing and Terms. 11.1 Client will publish terms and conditions of sale to all Customers. Standard terms are 2% -30 days, net 31 days. Contracted Customers may have non-standard terms.
11.2 Client will publish list prices for Customers, which are subject to change from time to time at the sole discretion of Client.
11.3 Cardinal Health will perform system maintenance of Product pricing and terms. Client will provide to Cardinal Health, in no less than seventy-two (72) business hours, written changes to Product pricing or terms to the following pricing mailbox: Cardinal Health will be responsible for updating the Cardinal Health system within twenty-four (24) hours of effective date and time of the price increase.
11.4 Cardinal Health employees are bound by the confidentiality provisions of the Agreement between Cardinal Health and Client and, as such, will not disclose Client sales data or pricing information outside the specific Cardinal Health employees who have a need to know this information in the course of performing their routine job responsibilities.
11.5 Cardinal Health provides the necessary reports within stipulated time frames to ensure Client can comply with the reporting requirements of Medicaid, Veterans HealthCare Act, PHS Covered Entities, Deficit Reduction Act (DRA), and state rebate programs. Client will define reporting requirements against which Cardinal Health will produce the required reports.
Pricing and Terms a. BioRidge will perform system maintenance of pricing and terms. Hemispherx will provide to BioRidge in writing any changes to prices or terms. BioRidge will be responsible for updating the BioRidge system within 48 hours of receipt of such notice or as Hemispherx may otherwise instruct.
b. BioRidge employees are bound by the confidentiality provisions of the Agreement between BioRidge and Hemispherx and, as such, shall not disclose Hemispherx sales data or pricing information outside the specific Hemispherx employees who have a need to know of this information in the course of performing their routine job responsibilities.
Pricing and Terms. Prices for the Products shall be based on Moulin’s then-current price list as furnished to LFS from time to time; provided, however, that all sales of Products hereunder shall be on economic terms and conditions that are no less favorable to LFS than the economic terms and conditions (including pricing, delivery, terms of payment, risk of loss and warranties) applicable to any other person, entity or company (“Person”) to which Moulin, directly or indirectly through any of its subsidiaries, sells or provides Products. Notwithstanding the foregoing, in the case Moulin purchases or otherwise acquires Products from a third party manufacturer, supplier or vendor in Asia (the “Third Party Manufactured Products”) and sells such Third Party Manufactured Products to ECCA, the purchase price to be paid by ECCA shall be equal to the price paid by Moulin for such Third Party Manufactured Products; provided, however, that ECCA shall pay the documented duties and freight costs directly and reasonably incurred by Moulin in connection with its purchase of Third Party Manufactured Products from Moulin.
