Cyber Risk Liability Insurance. The Contractor shall maintain coverage for Cyber Risk Liability, including information theft, computer and data loss replacement or restoration, release of private information, alteration of electronic information, notification costs, credit monitoring, forensic investigation, cyber extortion, regulatory defense (including fines and penalties), network security, and liability to third parties from failure(s) of contractor to handle, manage, store, and control personally identifiable information belonging to others. The policy must include full prior acts coverage. The coverage limits must be at least $1,000,000 per covered claim without sublimit, $2,000,000 annual aggregate.

Cyber Risk Liability Insurance. Contractor shall maintain cyber risk liability insurance with a combined single limit of not less than $5,000,000 per occurrence. Such insurance shall include coverage for Claims or Liabilities arising from network risks (including data breaches, unauthorized access/use, ID theft, invasion of privacy, loss/theft of electronic information, release of private information, damage to or alteration of electronic information, degradation, downtime, extortion, and network security) and intellectual property infringement, including infringement of copyright, trademark, service mark and trade dress and interruption of or damage to SCADA systems. The insurance also shall provide coverage for breach response costs, defense costs, regulatory fines and penalties, and credit monitoring expenses with limits sufficient to respond to these obligations. No exclusions shall be listed within the policy for unencrypted or portable devices. Notwithstanding any other provision of this Agreement, such policy shall remain in place during the Term, including any applicable maintenance period. Policy or policies shall also explicitly include all Contractor Parties. In the event of loss under this coverage, Contractor shall notify Company no later than 24 hours after discovery of any breach and will provide Company with access to data.

Contractor shall require each Contractor Party that performs any of the Work to obtain insurance policies and limits consistent with the insurance requirements set forth in this Article, provided that the requirements regarding excess or umbrella liability insurance will not apply to such Contractor Parties so long as Contractor’s excess or umbrella liability insurance provides coverage for the performance of Work by all Contractor Parties, unless Company specifically requires otherwise.
